TERMS OF SERVICE (AGB)

Welcome to QResponse. These Terms of Service ("Terms") govern the use of the software-as-a-service application QResponse ("Service"), provided by:

(hereinafter referred to as the "Provider").
SECTION 1: Scope and Target Audience
B2B Only: The Service is directed exclusively at businesses, entrepreneurs, freelancers, and solopreneurs within the meaning of § 14 of the German Civil Code (BGB). The Provider does not offer the Service to private consumers (§ 13 BGB).
Exclusion of Consumer Rights: By registering for an account, the Customer confirms that they are acting in their commercial or professional capacity. Consumer protection regulations, specifically the right of withdrawal (Widerrufsrecht), do not apply to this contract.
Deviating Terms: Any conflicting or deviating terms and conditions provided by the Customer shall not apply unless explicitly agreed to in writing by the Provider.
SECTION 2: Subject Matter and Services
QResponse is a software-as-a-service (SaaS) platform that allows Customers to generate dynamic QR codes, configure dynamic destination routing, and access analytics related to QR code scans (e.g., total scans, unique daily scans, geographic origin, device metadata).
The Provider offers both a Free Tier with limited functionality and various Paid Subscriptions with advanced features. The specific feature set, scan limits, and pricing are defined on the official website pricing page.
Technical Nature: The routing analytics are compiled from server-side interaction data when an end-customer scans a QR code. The platform relies on modern technological frameworks including Next.js, PostgreSQL, and global routing systems.
SECTION 3: Availability and Service Level (SLA)
The Provider strives to achieve an annual average availability of 99.0% for the core routing of active QR codes, excluding planned maintenance windows and factors outside the Provider's reasonable control (e.g., internet backbone failures, third-party hosting outages via sub-processors).
Maintenance windows will be scheduled during low-traffic hours whenever possible. The Provider will notify the Customer in advance of any significant, foreseeable disruptions.
SECTION 4: Registration and Contract Formation
A contract is established between the Parties when the Customer successfully completes the registration process on the website and confirms their email address.
For paid plans, a payment contract is finalized when the Customer submits their payment details and the subscription transaction is successfully completed via the integrated payment gateway (Stripe).
The Customer is responsible for keeping their account credentials secret and securing their account setup.
SECTION 5: Subscription Fees, Upgrades, and Payment via Stripe
Billing & Invoicing: Paid subscription fees are billed in advance on a recurring monthly or annual cycle, depending on the plan chosen by the Customer. All payment processing, invoicing, and subscription adjustments are securely handled via Stripe.
Price Adjustments: The Provider reserves the right to modify subscription fees upon giving at least 30 days' notice before the next billing cycle.
Default: If a payment fails through Stripe, the Provider reserves the right to automatically downgrade or restrict access to the account after providing a reasonable grace period to update payment details.
SECTION 6: Cancellation and Notice Periods
Flexible Cancellation: Cancellations are managed directly by the Customer via the integrated Stripe billing portal. A subscription can be canceled at any time up until the last moment before the next recurring billing cycle.
Access Post-Cancellation: If a subscription is canceled, the paid tier features and the account remain active until the end of the current, already paid billing cycle. No partial refunds will be provided for early cancellations.
Automatic Downgrade: At the end of the paid billing cycle, the account will be automatically downgraded to the Free Tier, subject to the limitations of that tier.
SECTION 7: Workspace Deletion and Discontinuation of QR Codes
Immediate Deactivation: The Customer can choose to delete their account or specific workspace entirely.
Consequences of Deletion: If an account or a workspace is deleted by the Customer, all associated dynamic QR codes will immediately stop working and will no longer route end-customers to their destination links. Analytical data associated with that workspace will be permanently erased, subject to mandatory statutory retention periods. The Provider is not liable for any broken links or business interruptions caused by user-initiated workspace deletion.
SECTION 8: Acceptable Use Policy (Fair Use)
The Customer is solely responsible for the targets, URLs, and destinations linked via the QResponse dynamic QR codes.
The Customer strictly agrees not to use the Service to route to or promote:
Malware, spyware, phishing schemes, or malicious software.
Illicit, fraudulent, or deceptive commercial activities.
Content that violates applicable local or international laws or intellectual property rights.
The Provider reserves the right to immediately block individual QR codes or terminate accounts without prior notice if a violation of this Acceptable Use Policy is detected.
SECTION 9: Limitation of Liability
The Provider is liable without limitation for damages resulting from injury to life, body, or health, as well as for damages caused intentionally or through gross negligence.
In cases of slight negligence (leichte Fahrlässigkeit), the Provider shall only be liable if a core contractual obligation (Kardinalpflicht) is breached. A core obligation is one whose fulfillment is essential for the proper execution of the contract and upon which the Customer may regularly rely. In such cases, liability is limited to foreseeable, contract-typical damages.
The Provider is not liable for data loss or tracking inaccuracies that occur due to configurations altered by the Customer, client-side browser extensions (such as aggressive ad-blockers used by the end-customer), or network issues at the end-user's device level.
SECTION 10: Data Protection
The processing of personal data within the scope of this Service is governed by our Privacy Policy.
Since the Customer processes analytical tracking data of their end-customers using QResponse, the Parties have entered into a Data Processing Agreement (DPA) pursuant to Art. 28 GDPR, which forms an integral part of this contractual relationship.
SECTION 11: Final Provisions
Amendments: The Provider reserves the right to amend these Terms at any time. The Provider will notify the Customer of amendments at least 30 days before they take effect. If the Customer does not object within this period, the amended terms shall be deemed accepted.
Governing Law: These Terms and the entire contractual relationship between the Provider and the Customer shall be governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
Place of Jurisdiction: The exclusive venue of jurisdiction for all disputes arising from or in connection with this contract is Saarbrücken, Germany.
